The name of this organization
shall be “The Dads Club
of Annunciation Orthodox School.”

The purpose of this organization
shall be to support and promote
the mission, policies, programs,
and activities of Annunciation
Orthodox School while encouraging
fellowship within the school
community.

Section 1.
All parents and guardians of children
enrolled in Annunciation Orthodox
School shall be eligible to become
dues paying and voting members.
At the discretion of the Board
of Directors, non-voting members
may be admitted as members on
an annual basis.
Section 2.
A yearly membership fee of $25
shall be due at the beginning
of the school year or as new students
enroll during the school year.
The amount of the dues will be
set by the Board.
Section 3.
The Dads Club supports all aspects
of the school’s programs
and mission.

Section 1.
BOARD OF DIRECTORS
The Board of Directors of this
organization shall consist of
representatives from each division
with a total of seven members,
including officers. All effort
will be made to represent each
division at the school (Jones
Center, Lower School and Middle
School). Additionally, committee
chairs may be appointed to the
Board as additional representatives
as necessary. The officers of
the organization shall be selected
from members of the Board and
will consist of a President,
Vice President, Secretary, and
Treasurer. Incoming members
of the Board shall be selected
for service on the Board before
the September meeting of the
Board in the next academic year.
The selection of the incoming
Board members will be accomplished
by a committee composed of the
incoming President and Vice
President and immediate past
President. The Board members
selected by the committee shall
serve as members of the Board
for one academic year.
Section 2.
NOMINATING COMMITTEE
There shall be a nominating
committee, selected by the President
and confirmed by the Board.
The nominating committee will
present a slate of officers
to the Board of Directors. At
a Board of Directors meeting,
the President shall appoint
and the Board confirms the members
of the nominating committee.
All efforts will be made to
represent each division at the
school (Jones Center, Lower
School and Middle School). The
president shall designate a
chair. The Nominating Committee
shall present a slate of candidates
for the positions of President,
Vice President, Secretary and
Treasurer to the Board of Directors
to be voted on by the Board
of Directors at a meeting of
the Board.
Section 3.
ELECTION
The officers shall be elected
annually at a general meeting
and shall assume office on July
1st of the current year.
Section 4.
VACANCIES
Vacancies shall be filled by
the Board of Directors as they
occur.
Section 5.
ELIGIBILITY
Only parents and guardians of
students currently enrolled
at Annunciation Orthodox School
may serve as members of the
Board of Directors.
Section 6.
BUSINESS
The Board of Directors and committees
appointed by the Board shall
transact necessary business
between meetings and other business
as may be referred to it.

Duties of Members of
the AOS Dads Club Board of Directors
Section 1.
PRESIDENT –
shall preside at general membership
meetings and Board meetings.
The President shall serve as
an ex-officio member of all
committees. The President shall
appoint members of the Board
to serve on committees.
Section 2.
VICE PRESIDENT – shall
serve as President in the President’s
absence and assume such other
duties as may be assigned to
him by the President and the
Board. The Vice President shall
assist the President in making
appointments to Board committees.
Section 3
SECRETARY – shall record
the minutes of general membership
and Board of Directors meetings
and shall handle all authorized
correspondence, and shall notify
members of all general meetings.
Section 4
TREASURER – shall keep
a record of all collections
and disbursements, make a written
financial report at each board
meeting, and keep accurate accounts
of all dues paid by members.
Section 5.
REPRESENTATIVES – shall
undertake whatever assignments
as the Board in its wisdom directs.

Board
The Board shall transact necessary
business between the Club meetings
and such other business as may
be referred to it.
Section 2.
Regular meetings of the Board
shall be held monthly from September
through May, the times and dates
being set by the President with
notice being given by the Secretary
notifying members of the Club
and the Board respectively.

Committees
Section 1.
NEW COMMITTEES
The Board of Directors may from
time to time designate a member
or members to the Board or to
chair new committees and to
execute such duties as the Board
of Directors may determine.
The Board of Directors shall
have power, at any time, to
change the number, members,
and duties of any such committees,
to fill vacancies, and to discharge
any such committees.
Section 2.
APPOINTED COMMITTEES
Committees shall be appointed
and the duties thereof specified
by the President in consultation
with the Board to promote the
work of the Dads’ Club.
Section 1.
Each year, there shall be a
minimum of two general meetings
of the Dads’ Club.
Section 2.
General membership
meetings shall be held at a
location and time to be announced
by the Board or its designate,
at least ten (10) days prior
to the meeting.

Parliamentary Authority
Section 1.
Roberts Rules of Order shall
govern this organization in
cases not covered by the By-Laws.
Section 2.
For the purpose of transacting
business at meetings, other
than amendment of these By-Laws,
a simple majority of the members
present shall constitute a quorum.
Section 3.
The By-Laws shall be amended
by an affirmative vote of the
two-thirds (2/3) of the membership
present at the meeting.
